• Rendered opinion on accounting issues. US Bankruptcy Court, Middle District, NC

• Consulting expert for shareholder complaint regarding entities owning local hotels. Dealt with valuation matters and fraud investigation.
    

• Conultant to NC Secretary of State and victim's counsel regarding interstate securities fraud scheme.
    

• Consultant to bankruptcy trustee attorney (NC Middle District) for finance company kiting scheme
    

Tax Management and Practice

• Tax Partner of local CPA firm and former Tax Department Director for regional CPA firm responsible for tax planning and research of firms' major clients. Responsible for researching and implementing business decisions revolving around tax issues. Issued technical memoranda and opinions regarding tax issues.
    

• Structured mergers and other acquisitive corporate reorganizations for closely held and publicly held corporations. Designed divisive reorganizations including split-ups and spin-offs. Analyzed and implemented reorganizations among corporations and related partnerships. Planned Section 338 election of oil company acquisition.
    

• Devised liquidation of corporations and planned liquidations of subsidiaries under Section 332. Dealt with various corporate issues including personal holding companies, collapsible corporations, stock redemptions and recapitalizations.
    

• Handled income tax compliance and reporting issues. Prepared multi-state corporate and partnership tax returns. Prepared consolidated tax returns and reviewed sales tax issues of multi-state corporations.
      

• Structured sale of equipment company stock to employee stock ownership plan. Analyzed tax consequences to majority shareholder; participated in valuation of company and financing with lender.
    

• Implemented defined contribution and defined benefit plans; researched discrimination and vesting issues and plan mergers. Successfully negotiated qualification of disqualified plan with the IRS.
